Incentive & Prize Rules

By receiving any Incentives (as defined below) or entering into the Contest (as defined below) you agree to be bound by these Official Rules and represent and warrant that you are eligible to enter the Contest or receive the Incentives and that there are no restrictions on your rights to enter into this Contest or receive an Incentive. You further agree that you will abide by decisions of the Sponsor (as defined below) as to the Contest or the Incentives.

INCENTIVE ENTRY DATES: 2022 National Girls & Women in Sports Day Virtual 5K & 50 Mile Challenge – Community Challenge or School Challenge Incentive Entry (“Incentive” or “Incentives”) will officially open at 12:01 a.m. EST on Tuesday, February 1, 2022, and will close at 11:59 p.m EST on Thursday, June 23, 2022 (“Incentive Entry Period”).

CONTEST ENTRY DATES: 2022 National Girls & Women in Sports Day Virtual 5K & 50 Mile Challenge Fitness Series Class Contest (the “Contest”) will officially open at 12:01 a.m. EST on Tuesday, February 1, 2022, and will close at 11:59 p.m. EST on Thursday, February 23, 2022 (“Contest Entry Period”).

WHO MAY ENTER: Incentives are only available to U.S. legal residents who register for the 2022 National Girls & Women in Sports Day Virtual 5K or 50 Mile Challenge -Community Challenge or School Challenge. The Contest is only open to U.S. legal residents who RSVP and attend the virtual February Fitness Series Class (es).

In the case of either the Incentives or the Contest, parents or legal guardians must act for a minor. Void where prohibited or restricted by law. By entering this Contest, you will be subject to all notices posted online including but not limited to Privacy Policy and Terms of Use. The following individuals are not eligible to enter the Contest or win a prize:

(i) employees, officers, representatives, trustees, agents, directors, shareholders or members of Sponsor,

(ii) any person or entity providing prizes or services (such as suppliers, distributors or advertising and promotion agencies) for the Contest or such person’s or entity’s employees, officers, representatives, trustees, agents, directors, shareholders or members,

(iii) the immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) or those living in the same household (whether or not related) of the individuals described in subclause (i) or (ii), or

(iv) parents, affiliates, subsidiaries of any of the foregoing persons or entities (collectively, “Contest Parties”).

INCENTIVE AND CONTEST OBJECTIVE: The objective of the Incentives and the Contest are to raise awareness for the Women’s Sports Foundation (“Sponsor” or “WSF”), which exists to enable girls and women to reach their potential in sport and life. We are an ally, an advocate and a catalyst. Founded by Billie Jean King in 1974, we strengthen and expand participation and leadership opportunities through research, advocacy, community programming and a wide variety of collaborative partnerships. The Women’s Sports Foundation has positively shaped the lives of millions of youth, high school and collegiate student athletes, elite athletes and coaches. We’re building a future where every girl and woman can #KeepPlaying and unlock the lifelong benefits of sport participation.

INCENTIVE ENTRY: To be automatically entered, you must register for the 2022 National Girls & Women in Sports Day Virtual 5K or 50 Mile Challenge – Community Challenge or School Challenge between 12:01 a.m. EST on Tuesday, February 1, 2022 through 11:59 p.m. EST on Thursday, June 23, 2022 (“Incentive Entry Period”). When registering, an opportunity to sign up to receive follow-up information from the Women’s Sports Foundation may be available. Sponsor reserves the right to disqualify any entry for any reason, in its sole and absolute discretion.

Odds of winning an Incentive depends upon number of registrations received for the Community Challenge and School Challenge. Odds of winning the Contest depends upon the number of February Fitness Series Class entries.

WINNER NOTIFICATION: Winners of the Incentives will be determined after the Incentive Entry Period and will be notified via the email provided in the Community Challenge or School Challenge registration. Winners of the Contest will be determined after the Contest Entry Period and will be notified via the email provided in the RSVP for the February Fitness Series Class. An individual will be awarded no more than one (1) prize. Winners may be required to provide a mailing address which will be used to fulfill the prize. At the discretion of the Sponsor, in the event it is determined that the Winner has not complied with these Official Rules, has failed to execute and return any required documents within the specified time period, has made false statements or an Incentive or Contest prize notification is returned as undeliverable, then the Winner will be disqualified and at Sponsor’s sole discretion, and an alternate Winner will be declared. Winners will receive his/her prize within 30 days following the end of the Entry Period.

INCENTIVE AND CONTEST PRIZE & APPROXIMATE RETAIL VALUE (“ARV”): The anticipated number of winners, Incentives, Contest prizes and ARV as outlined below. Sponsor shall be responsible for the shipment of prizes, with the method of shipment and delivery provider at the sole discretion of the Sponsor. Winners are not recipients of an Incentive or Contest prize until s/he has been verified as a Winner by the Sponsor. Upon fulfilling the Incentive or Contest prize, Sponsor will be deemed to have awarded the Incentive or Contest prize to the Winners and such Winners assume full responsibility for the Incentive or Contest prize. All Incentives and Contest prize details are at Sponsor’s sole discretion. Incentives and Contest prizes are not redeemable for cash.

Approximate Retail Value:

GENERAL CONDITIONS: By entering the Contest or receiving an Incentive you hereby irrevocably permit and authorize Sponsor, its employees, officers, trustees, and agents to use and grant and license Sponsor and its employees, officers, trustees and agents, except where prohibited by law, the right to use  to use your name, images, hometown, likeness, prize won, and photograph (all at Sponsor’s discretion) and all materials created by Sponsor that incorporate the foregoing (collectively, the Materials”) for future fundraising, advertising, publicity, public relations, exhibition, transmission, broadcast or display,  in any and all media or format now or hereafter devised throughout the world in perpetuity, without additional compensation, notification or permission. Sponsor shall be the owner of all Materials and by receiving an Incentive or entering the Contest you hereby irrevocably assign and any transfer rights any and all rights in the Materials to Sponsor.

By receiving an Incentive or entering the Contest, you agree that the Contest Parties and their respective officers, trustees, directors, agents, representatives, and employees (collectively, “Released Parties”) are not responsible for lost, late, misdirected, damaged, stolen, altered, garbled, incorrect, incomplete or delayed Entries; all of which will be void. You further agree that the Released Parties are also not responsible for problems related to technical malfunctions of electronic equipment, computer online systems, servers, or providers, computer hardware or software failures, phone lines, failure of any entry to be received by Sponsor on account of technical problems, traffic, congestion on the internet or the website, or for any other technical problems including telecommunication, miscommunication or failure, and failed, lost, delayed, incomplete, garbled, or misdirected communications which may limit a entrant’s ability to receive an Incentive or participate in the Contest. You further agree that the Released Parties are not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human or otherwise relating to or in connection with the Incentives or the Contest, including, without limitation, errors or malfunctions with may occur in connection with the administration of the Incentives or the Contest, the processing or judging of Entries, the announcement of the Incentives or the Contest or in any Incentive- or Contest-related materials. You agree that your sole remedy for any of the above is receipt of another Incentive or another entry in the Contest, in either case if feasible, as determined by Sponsor in its sole discretion.

Mass entries generated by a script, macro or use of automated devices will be disqualified. Sponsor reserves the right to modify, suspend or terminate the Incentives or the Contest in the event it becomes infected by a computer virus or is otherwise technically impaired, and to cancel or suspend the Incentives and/ or the Contest, as applicable, in their entirety should tampering, unauthorized intervention, fraud, technical failures or other causes corrupt the administration, security, fairness, integrity or proper play of the Incentives or the Contest and, if terminated, at Sponsor’s discretion, determine the Winner using all non-suspect, eligible entries received up to time of cancellation using the judging procedure outlined above. In the event of a dispute regarding entries received from multiple users having the same email account, the authorized subscriber of the email account at the time of Entry will be deemed to be the entrant and must comply with these Official Rules. Authorized subscriber is the natural person who is assigned the email address by the Internet Service Provider (ISP), online service provider, or other organization responsible for assigning email addresses. Sponsor reserves the right at its sole discretion to disqualify any individual (and void his/her entries) it finds to be tampering with the entry process or the operation of this Incentives or the Contest process, intending to annoy, abuse, threaten or harass any other entrant, Sponsor, or any of its representatives or to otherwise be acting in violation of these Official Rules.

Unfortunately, the transmission of information via the internet is not completely secure. Although we do our best to protect your personal information, we cannot guarantee the security of your personal information transmitted via our website. Any transmission of information is at your own risk. We are not responsible for the circumvention of any privacy settings or security measures contained on our website.

MISCELLANEOUS CONDITIONS: Failure to comply with these Official Rules may result in disqualification from receipt of the Incentives or entry in the Contest. Sponsor reserves the right to permanently disqualify any person it believes has intentionally violated these Official Rules. The Incentives and the Contest are subject to all federal, state and local laws and regulations. Void where prohibited by law.

RELEASES: By entering in this Incentive or the Contest, entrants agree to Sponsor’s use of their personal information for both online and offline direct marketing purposes.

BY RECEIPT OF THE INCENTIVES OR ENTERING THE CONTEST, YOU FURTHER AGREE THAT THE RELEASED PARTIES WILL HAVE NO LIABILITY FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM THE INCENTIVES, THE CONTEST OR THE PRIZES. BY RECEIPT OF THE INCENTIVES OR ENTERING THE CONTEST, YOU HEREBY RELEASE THE RELEASED PARTIES FROM ANY AND ALL CLAIMS AND LIABILITY IN CONNECTION WITH THE CONTEST.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THE INCENTIVES AND THE CONTEST IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

SPONSOR RESERVES THE RIGHT TO CHANGE ANY TERM OF THESE OFFICIAL RULES OR TO ADDRESS ANY ISSUES THAT ARISE WITH UPDATES OR AMENDMENTS TO THESE OFFICIAL RULES AT ANY TIME UP TO THE DATE INCENTIVES AND PRIZES ARE AWARDED.

If any provision of these Official Rules is deemed to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or lack of enforceability shall not affect any other term or provision of the Official Rules or invalidate or render unenforceable such term or provision in any other jurisdiction.

ARBITRATION & CHOICE OF LAW: Except where prohibited by law, as a condition of eligibility for the Incentives or entry in the Contest, entrant agrees that (1) any and all disputes and causes of action arising out of or connected with the Incentives or the Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action lawsuit, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the Sponsor; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than entrant’s actual out-of-pocket expenses (i.e., costs associated with eligibility for the Incentives or entry in the Contest), and entrant (or, if an eligible minor, his/her parent or legal guardian) further waives all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrants and Sponsor in connection with this Incentive or the Contest, shall be governed by, and construed in accordance with, the substantive laws of the State of Delaware, USA without regard to Delaware choice of law rules.

WINNERS LIST: Winners will be notified by their email addresses within one week of the end of the Incentive Period or the Contest Period.
